Essential Duties and Responsibilities:
To safeguard the company’s interests in all aspects of commercial/contracts management lifecycle. Negotiate contracts/agreements and provide commercial knowledge and guidance to concerned manager. To support Business Unit and functional departments in all commercial matters as necessary.
• Negotiating, Draft, review, manage & maintain Business Unit commercial and contractual arrangements (e.g. MOUs, sales contracts, employment agreements, collaborative arrangements, license agreements, Lease agreement, shareholders’ minutes, etc.) , drafting and recommending agreements with external customers, including price, balancing commercial and company interests with acceptable commercial and legal risks to the Company.
• Analyzing and interpreting complex contract terms and conditions, advising on their impact and associated risk and liability to the company at all levels.
• Identifying and Addressing potential conflicts of interests.
• Preparing and keeping under review standard contracts and associated legal documents for all aspects of company activity,
• Maintaining awareness of relevant legislation, Government initiatives and industry Interactions commensurate with the responsibilities of the job.
• Review customer terms and conditions and advise on risks, cost drivers and propose acceptable commercial positions, to the Business Units
• Conduct and support negotiations with customers to achieve the best position which reflects the agreed “sign-off” position.
• Work with finance colleagues to ensure acceptable cash flows and payment profiles are contractually agreed
• Present commercial aspects of proposals at internal bid reviews, to all levels of seniority
• Conduct pre- and post-contract award reviews with internal stakeholders to ensure the contractual obligations are known, understood and being properly addressed
• Undertake any other activity as reasonably requested by the Head
Education and/or Work Experience Requirements:
· In-depth knowledge of general and specific contract laws
· Excellent knowledge of reporting procedures and record keeping
· An analytical mind able to “see” the complexities of procedures and regulations
· Excellent communication skills.
· LLB degree with relevant experience of at least 2 years in, Contract Management area, Justice, Public Prosecutor, Attorney, Legal Advice.
Knowledge, Skills & Experience:
· Demonstrable negotiation skills with successful experience of operating in local markets
· Experience of managing contracts
· Experience of negotiating with customers.
· Confident presentation of commercial advice and opinion, able to engender trust and display professional credibility
· Strong influencing and persuasive skills; presents a calm and professional demeanor
· Conscientious attitude to contract (attention to detail) and proposal reviews
· Ability to constructively challenge others to influence the commercial position
· Strong relationship building skills
· Ability to explain complex terms and conditions in such a way that internal stakeholders understand the company’s obligations
· Calm and professional attitude, especially under pressure
· Ability to work under own steam and in a team environment, as required, with all levels from junior to Senior
· Ability to work effectively and proactively. A self-starter with the tenacity and resilience to manage obstacles and delays without losing focus
